This document, the Terms of Service (hereinafter referred to as "Agreement"), constitutes a legally binding agreement between you, the user (hereinafter referred to as "User" or "you"), and Statute Core, operating the website statutecore.com (hereinafter referred to as "Statute Core," "we," "us," or "our").
By accessing or using the statutecore.com website and any associated services, features, or content (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree with any part of these terms, you must not access or use the Services.
1. Acceptance of Terms 1.1. Your use of the Services signifies your unqualified acceptance of this Agreement. This Agreement applies to all visitors, users, and others who access or use the Services. 1.2. Statute Core reserves the right, at its sole discretion, to modify or replace these Terms at any time. Should a revision be material, we will endeavor to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Services after such changes constitutes your acceptance of the new Terms of Service.
2. User Obligations and Acceptable Use 2.1. Users are permitted to use the Services solely for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Services by any third party. 2.2. Prohibited activities include, but are not limited to: a. Engaging in any illegal activities or promoting any illegal acts. b. Transmitting any material that is defamatory, offensive, or otherwise objectionable. c. Harming or attempting to harm minors in any way. d. Infringing upon the intellectual property rights of Statute Core or any third party. e. Distributing unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation (spam). f. Introducing viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. g. Attempting to gain unauthorized access to our site, the server on which our site is stored, or any server, computer, or database connected to our site. h. Disrupting the functionality or performance of the Services or interfering with any other user's use of the Services. 2.3. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify Statute Core immediately of any unauthorized use of your account or any other breach of security.
3. Intellectual Property Rights 3.1. The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Statute Core, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 3.2. This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to the terms and conditions herein. 3.3. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally and expressly permitted by Statute Core.
4. Disclaimer of Warranties 4.1. The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. 4.2. Statute Core does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that defects will be corrected. Statute Core makes no representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise.
5. Limitation of Liability 5.1. In no event shall Statute Core, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Services. 5.2. To the maximum extent permitted by applicable law, Statute Core assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our Services; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein; (iv) any interruption or cessation of transmission to or from the Services; (v) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Services by any third party; and/or (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services. 5.3. In no event shall Statute Core's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Services during the twelve (12) months immediately preceding the claim or one hundred U.S. dollars ($100), whichever is greater.
6. Termination 6.1. Statute Core may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 6.2. Upon termination for any reason, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Governing Law 7.1. This Agreement shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
